Terms of Service

These Terms govern your use of the Zelari website at zelari.io and the Zelari app for Shopify (together, the "Service"). By using the Service, you agree to these Terms. If you do not agree, please do not use the Service. Questions? Contact Us.

1. The Service

Zelari gives Shopify merchants inventory intelligence: it watches inventory changes, detects anomalies using rules and statistics, calculates inventory metrics, and uses AI to explain flagged anomalies clearly. Zelari supports your decisions. You remain responsible for purchasing, stocking, pricing, and fulfilling orders.

2. Free trial, plans, and billing

• New installs get a 30-day free trial. You are not charged during the trial, and no payment is set up until it ends.
• When the trial ends, Shopify will ask you to approve a subscription to keep using Zelari. Nothing is charged unless you approve it.
• After the trial, the Starter plan costs $19 per month. Builder ($39 per month) and Operator ($59 per month) will be offered when they launch.
• All charges are billed through Shopify on a recurring 30-day cycle and appear on your Shopify invoice. Taxes may apply.
• If you uninstall Zelari during the trial, you are not charged. If you uninstall after the trial, billing stops from that point. Unless required by law, fees already charged are not refundable. If you believe you were billed in error, email us and we will look into it.
• We may change our prices. We will give you at least 30 days' notice before a price change affects your plan.

3. Plan limits and features

Each plan has limits, such as the number of SKUs covered, how many anomalies show full details, monthly AI explanations, and how much history you can view. These limits are shown on our website and in the app, and are enforced in the product. Features we describe as "coming soon" or "planned" are not yet available, and we cannot promise when or whether they will launch.

4. Your Shopify store

You must be authorized to connect the Shopify store you install Zelari on. Your use of Shopify is also subject to Shopify's own terms. Installing Zelari requires granting the permissions shown at install. Uninstalling stops new data collection, as described in our Privacy Policy.

5. Acceptable use

You agree to:

• Use the Service only for lawful business purposes
• Not try to break, overload, scrape, or reverse engineer the Service, except where the law allows
• Not resell or share access to the Service outside your business
• Give us accurate contact information when you reach out

6. AI explanations

AI explanations are generated automatically and can be incomplete or wrong. Treat them as helpful context, not guaranteed facts, forecasts, or professional advice. Check important details before acting on them.

7. Emails

If you turn on alert or digest emails, we send them to the address you provide in Settings. You can turn them off at any time.

8. Ownership and your data

We own the Service, including our software, brand, and documentation. You keep ownership of your store content and data. You give us a limited permission to use your store data only to provide and improve the Service, as described in our Privacy Policy. Our Data Processing Agreement is part of these Terms and applies to any personal data we process for you.

9. Feedback

If you send us ideas or feedback, we may use them to improve Zelari without any obligation to you.

10. Disclaimers

The Service is provided "as is" and "as available." We do not promise that it will run without interruption, that it will catch every anomaly, or that every explanation will be correct. Inventory outcomes depend on many things outside our control, such as supplier delays, platform issues, and manual edits.

11. Limitation of liability

To the maximum extent permitted by law, Zelari and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim related to the Service in any twelve-month period will not exceed the greater of (a) the amount you paid us for the Service in that period or (b) one hundred U.S. dollars ($100), except where the law does not allow liability to be limited.

12. Indemnity

You will defend and indemnify us against claims arising from your store's products, your misuse of the Service, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

13. Ending the Service

You can stop using the Service at any time by uninstalling the app. We may suspend or end your access if you breach these Terms, or if needed for security or legal reasons. Sections that by their nature should continue (such as disclaimers, limits of liability, and indemnity) continue after the Service ends.

14. Changes to these Terms

When we update these Terms, we change the version number and date at the top, add a line to the version history below, and keep every previous version available on our Documents page. If you keep using the Service after changes take effect, you accept the updated Terms, unless the law requires otherwise.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes will be resolved in courts located in Delaware, unless mandatory consumer protection laws in your country say otherwise.
