Terms of Service
These terms ("Terms") govern your use of the Zelari website at zelari.io and the Zelari application for Shopify ("Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service
Zelari provides inventory intelligence for Shopify merchants: operational monitoring, anomaly detection using rules and statistics, and AI-generated explanations for flagged issues. Zelari is a decision-support tool. You remain responsible for purchasing, stocking, pricing, and fulfilling orders.
2. Beta
During private beta, the Service may change frequently, include limited features, or experience downtime. Beta may be offered without charge; we may invite feedback and adjust tiers, limits, and pricing before general availability. We may suspend or end beta access at any time.
3. Eligibility and Shopify
You must be authorized to bind the Shopify store you connect. Your use of Shopify is subject to Shopify's own terms and policies. Installing Zelari requires granting the API scopes shown at install; revoking access or uninstalling stops new data collection subject to our privacy policy.
4. Account and acceptable use
You agree to:
- Provide accurate contact information when you reach out to us
- Use the Service only for lawful business purposes
- Not attempt to break, scrape, overload, or reverse engineer the Service except as law allows
- Not misuse AI outputs as guaranteed forecasts or sole basis for safety-critical decisions
5. Plans, billing, and limits
When paid plans launch, fees, billing cycle, and feature limits will be described at checkout or in Shopify's billing flow. Until then, beta terms communicated by us apply. Tier limits (e.g. history range, anomaly visibility, AI usage) may be enforced in the product.
6. Intellectual property
We own the Service, brand, software, and documentation. You retain ownership of your store content and data. You grant us a limited license to use your shop data only to provide and improve the Service as described in our Privacy Policy.
7. Disclaimers
The Service is provided "as is" and "as available," especially during beta. We do not warrant uninterrupted operation, error-free detection, or that explanations will be complete or correct for every situation. Inventory outcomes depend on many factors outside Zelari (supplier delays, platform bugs, manual edits, etc.).
8. Limitation of liability
To the maximum extent permitted by law, Zelari and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising from the Service in any twelve-month period will not exceed the greater of (a) amounts you paid us for the Service in that period or (b) one hundred U.S. dollars ($100), except where liability cannot be limited by law.
9. Indemnity
You will defend and indemnify us against claims arising from your store's products, your misuse of the Service, or your violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.
10. Termination
You may stop using the Service by uninstalling the app. We may suspend or terminate access if you breach these Terms or if required for security or legal reasons. Sections that by nature should survive (disclaimers, liability limits, indemnity) survive termination.
11. Changes
We may update these Terms. When we do, we update the version number and date at the top of this page, add an entry to the version history below, and archive the previous version with a permanent link. Continued use after changes means you accept the revised Terms, unless law requires otherwise.
12. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes will be resolved in courts located in Delaware, unless mandatory consumer protection rules in your country require otherwise.
